1. Pursuant to relevant import and export control laws and regulations, including but not limited to Taiwan “Foreign Trade Act”, “Regulations Governing Export and Import of Strategic High-Tech Commodities” and “Smuggling Penalty Act”, Customer shall cooperate with Chief Telecom in implementing corporate due diligence measures. Such measures shall be based on import and export control orders and guidelines issued by the governmental authorities regarding sensitive equipment, and shall include, but are not limited to, the investigation of the movement and storage of AI server equipment within the data center, as well as anomaly reporting mechanisms, in order to prevent potential violations.
2. In the event that Chief Telecom observes any suspected anomalies or unreasonable warehousing patterns regarding Customer’s equipment, such as “abnormally frequent movement of equipment”, “high-value goods not being unboxed and racked within a reasonable timeframe” or “goods being removed intact without being unboxed”, Chief Telecom may notify Customer in writing or via email, requesting Customer to clarify the actual status and purpose of the equipment within a designated timeframe.
3. Should Customer fail to provide a reasonable explanation regarding the aforementioned matters, refuse to cooperate, or should similar anomalies recur, Chief Telecom reserves the right, by virtue of its obligation to comply with relevant import and export control orders and to cooperate with government investigation measures, to immediately initiate reporting procedures to the relevant governmental authorities. Customer shall bear sole and full liability for any subsequent consequences, and Chief Telecom shall be held entirely harmless therefrom. Furthermore, if government authorities initiate an investigation or execute enforcement actions as a result, Chief Telecom may, at its sole discretion, terminate or rescind Customer’s leased services pursuant to the relevant contract terms, and confiscate Customer’s security deposit or prepaid fees (if any) as compensation.
